NOW THEREFORE, RECIPIENT(S) AGREE AS FOLLOW:

01. Recipient(s) shall observe the strictest secrecy with respect to said BOSSA Franchise Success Training Systems Trade Secrets disclosed and all information generated therefrom including evaluations thereof, and shall take all affirmative steps necessary to maintain the trade secret status of said Trade Secrets, subject to the provisions of Paragraph 2 and 3 herein. Recipient(s) shall be responsible for any damages resulting from any breach of this Agreement, which includes the dissemination of said Trade Secrets to any third party who learned of such information through Recipient(s). 02. Recipient(s) shall neither make use of, except for the purposes of evaluating the information, nor disclose to third parties, said BOSSA Franchise Success Training Systems Trade Secrets or the evaluation produced by Recipient(s), unless prior consent in writing is given by the Owner. If Recipient(s) determines that it must consult third parties, all such third parties must enter into a separate agreement directly with Owner prior to any disclosure of said Trade Secrets to said parties by Recipient(s). 03. Recipient(s) agrees to return all materials provided by Owner, and all copies thereof, immediately upon the owner's written and/or verbal request and (a) To return any documentation, proposals and/or notes generated by Recipient(s) which pertains to said BOSSA Franchise Success Systems Trade Secrets; (b) Not to use said Trade Secrets as a basis for any future research and development; and, (c) Not to use said Trade Secrets to improve upon any Owner's Trade Secrets. Recipient(s) warrants that all of Recipient(s)' employees and/or associates who come into contact with said Trade Secrets have signed or will sign agreements consistent with and/or the same as this Agreement before they are allowed to have any contact whatsoever with said Trade Secrets as set forth herein.

Nothing herein shall constitute or otherwise be construed as granting to Recipient(s) any interest or license under said BOSSA Franchise Success Training Systems Trade Secrets, or any copyright heretofore or hereafter granted or filed in which owner how has or subsequently may obtain any right, title or interest. Recipient(s) agrees that all rights to any copyrights, trademarks or trade secrets that arise or are developed as a result of disclosure of said Trade Secrets by owner pursuant to this Agreement are the sole property of Owner. Recipient(s) agree to execute all future documents necessary for Owner to maintain rights in said copyrights, trademarks, patents, and trade secrets. Initials:. _______

04. Recipient(s) represents to Owner that it has not entered into any agreement (either oral or written) with, nor is it under any obligation to, any third parties which conflicts with any of the provisions of the Agreement, nor will Recipient(s) disclose said BOSSA Franchise Success Training Systems Trade Secrets to others having obligations to third parties which conflict with any of the provisions of this Agreement. Recipient(s) recognizes that the unauthorized or disclosure by Recipient(s) of said Trade Secrets would cause irreparable injury to Owner. Recipient(s) agrees that Owner shall be entitled, in addition to any other remedies and damages available, to a temporary injunction (without necessity of posting or filing a bond or any other security) to restrain violation hereof by recipient(s), its agents, servants, employers, employees, and all persons acting therefore.
